1. Eligibility & Account Registration

1.1 Eligibility. You must be at least 18 years old and capable of forming a binding contract in your jurisdiction.

1.2 Accurate Information. You agree to provide and maintain true, complete, and current account information.

1.3 Account Security. You are solely responsible for all activities that occur under your credentials. Promptly notify us of any unauthorized use. We may refuse, suspend, or terminate the Service or accounts at our sole discretion.

2. License & Acceptable Use

2.1 License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for lawful purposes.

3. Generated Content & Intellectual Property Rights

3.1 Your Inputs. You retain ownership of prompts, text, and other material you submit (“Inputs”). You grant us a worldwide, non-exclusive, royalty-free license to use Inputs for the purpose of operating and improving the Service.

3.2 Outputs. Subject to your compliance with these Terms, we assign to you any copyright we may own in the domain-name suggestions and other content the Service generates for you (“Outputs”). We do not warrant that Outputs are unique, non-infringing, or available for registration. You are solely responsible for evaluating and using Outputs.

3.3 Our Marks & Software. All rights not expressly granted are reserved by us.

4. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and safeguard personal data. By using the Service, you consent to those practices.

5. Fees & Payment (if applicable)

Fees, if any, will be disclosed prior to purchase. You authorize us to charge your selected payment method and agree to pay all amounts due, including applicable taxes. Fees are non-refundable unless required by law.

6. Disclaimers

THE SERVICE, INCLUDING ALL OUTPUTS, DATA, AND INFORMATION, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by law, we disclaim all warranties, including fitness for a particular purpose, non-infringement, and uninterrupted availability. You bear sole responsibility for verifying the availability, legality, and appropriateness of any domain name or other content generated by the Service.

7. Limitation of Liability

To the fullest extent permitted by law, Name Buddy AI Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to the Service or these Terms, even if advised of the possibility of such damages.

Our aggregate liability shall not exceed USD 100 or the amount you paid us in the 12 months preceding the claim—whichever is greater. Some jurisdictions do not allow certain limitations; in such cases, the above limitations apply to the greatest extent permitted.

8. Indemnification

You agree to indemnify, defend, and hold harmless Name Buddy AI Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your use or misuse of the Service or Outputs; (b) your violation of these Terms or any law; or (c) your violation of any third-party right.

9. Suspension & Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or pose a risk to the Service or others. Upon termination, Sections 3–11 will survive.

10. Modifications to the Service or Terms

We may modify the Service or these Terms at any time. Material changes will be posted on the site or sent to your account email. Continued use after the effective date constitutes acceptance. If you disagree with revised Terms, discontinue use.

11. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. All disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue therein. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12. Miscellaneous

Entire Agreement. These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

Severability. If any provision is found unenforceable, the remainder will stay in force.

No Waiver. Our failure to enforce any right is not a waiver of future enforcement.

Assignment. You may not assign these Terms without our prior written consent; we may assign freely.
